Business Terms of Service

Our philosophy

We built IndiStamp to help independent businesses grow while respecting the privacy of everyone who uses our platform. We believe legal documents should be clear and understandable, so we’ve written these Terms in plain English wherever possible.

These Business Terms of Service (“Terms”) form a legal agreement between Silicon Gorge Apps Ltd (“Silicon Gorge Apps”, “we”, “our” or “us”) and the business using IndiStamp (“Customer”, “you” or “your”).

By creating an account, purchasing a plan or otherwise using IndiStamp, you agree to these Terms.

These Terms apply only to businesses. IndiStamp is not intended for consumer use by vendors.

Support is provided via WhatsApp during normal UK business hours on a best endeavours basis.

2. Definitions

Account means your IndiStamp vendor account.

Customer means the business, charity, organisation, sole trader or partnership entering into these Terms.

Free Plan means the IndiStamp plan requiring a one-off setup fee.

Growth Plan means the monthly subscription plan.

Platform means the IndiStamp applications, vendor dashboard, website, NFC technology and associated services.

POS Equipment means the NFC puck and promotional materials supplied by Silicon Gorge Apps.

Service means all software, services and features provided through the Platform.

3. Eligibility

You confirm that:

• you are using IndiStamp for business purposes;
• you are at least 18 years old;
• you have authority to bind your business to these Terms;
• the information you provide is accurate and kept up to date.

IndiStamp is currently available only to businesses operating within the United Kingdom.

4. Your account

You are responsible for maintaining the security of your account.

You agree to:

• keep your contact details accurate;
• keep your login details secure;
• ensure only authorised people access your account;
• notify us promptly if you suspect unauthorised access.

You remain responsible for all activity carried out using your account.

5. Plans

Free Plan

The Free Plan requires payment of a £10 one-off setup fee.

No further subscription charges apply.

The Free Plan continues indefinitely unless terminated under these Terms.

Customers may upgrade to the Growth Plan at any time.

Once upgraded to the Growth Plan, you cannot return to the Free Plan.

Growth Plan

The Growth Plan is billed monthly in advance.

The subscription price displayed during checkout applies until changed in accordance with these Terms.

Subscriptions renew automatically every month until cancelled.

There is no minimum contract period.

You may cancel at any time.

Cancellation prevents future renewals but your access continues until the end of your paid billing period.

6. Payments

Payments are securely processed by our payment provider.

By subscribing you authorise recurring payments where applicable.

If payment cannot be collected we may:

• retry payment;
• suspend your account;
• restrict access to Services;
• terminate your subscription.

All fees are exclusive of VAT unless stated otherwise.

All fees are non-refundable except where required by law.

Because IndiStamp is supplied solely for business use, no consumer cooling-off rights apply.

We may change subscription pricing by giving at least 30 days’ notice. New pricing will apply only to future renewals.

7. NFC puck and promotional materials

When you join IndiStamp we will provide an NFC puck together with promotional materials appropriate for your chosen plan.

Ownership transfers to you when the items are delivered.

If the NFC puck or promotional materials are lost, stolen or damaged, replacements may be purchased separately for a small sum.

The NFC puck is designed for use with the IndiStamp platform and must not be modified or used unlawfully.

8. Acceptable use

You must not:

• use IndiStamp unlawfully;
• send spam or unsolicited communications;
• upload offensive, defamatory or illegal material;
• interfere with the operation or security of the Platform;
• attempt to gain unauthorised access to systems or accounts;
• reverse engineer or copy the software;
• use automated tools to scrape or overload the Platform;
• misuse customer information.

We may suspend or terminate accounts immediately where these Terms are breached.

9. Customer responsibilities

You are responsible for:

• complying with all applicable laws relating to your business;
• ensuring the information you provide through IndiStamp is accurate;
• the content of any communications you choose to send through the Platform;
• maintaining appropriate records where required by law;
• ensuring your use of IndiStamp is lawful and consistent with these Terms.

IndiStamp provides tools that enable consumers to grant or withdraw consent to receive marketing communications from your business.

You agree to use these tools only as intended and not to attempt to contact consumers outside the permissions they have granted through the Platform.

Nothing in these Terms prevents you from obtaining additional permissions outside IndiStamp, provided you do so in accordance with applicable law.

10. Privacy and data protection

Our collection and use of personal information is explained in our Privacy Policy.

In relation to customer personal data processed through IndiStamp, the vendor will generally act as the data controller and Silicon Gorge Apps will process that data only as necessary to provide the Service. Each party is responsible for complying with the legal obligations that apply to its role under UK data protection law.

You agree to use the Platform only in compliance with applicable data protection legislation.

11. Availability and support

We aim to provide a reliable service but do not guarantee uninterrupted availability.

The Platform may occasionally be unavailable due to maintenance, upgrades, third-party service failures or circumstances beyond our reasonable control.

Support is provided via WhatsApp during normal UK business hours on a best endeavours basis.

No Service Level Agreement (SLA) applies.

12. Intellectual property

All intellectual property rights in IndiStamp remain the property of Silicon Gorge Apps Ltd.

These Terms grant you a limited, non-exclusive, non-transferable licence to use the Platform while your account remains active.

You may not copy, modify, distribute, sell, lease or create derivative works from IndiStamp except where permitted by law.

13. Suspension and termination

We may suspend or terminate your account immediately if:

• payment remains outstanding;
• you breach these Terms;
• your use is unlawful;
• your use presents a security risk;
• we reasonably suspect fraud or misuse.

You may stop using IndiStamp at any time.

Termination does not remove your obligation to pay fees already incurred.

14. Changes to IndiStamp

We continually improve IndiStamp.

We may introduce new features, modify existing functionality or discontinue features where reasonably necessary.

Where practical, we will give reasonable notice of material changes affecting paying customers.

15. Limitation of liability

Nothing in these Terms excludes liability that cannot legally be excluded under the laws of England and Wales.

To the fullest extent permitted by law:

• IndiStamp is provided “as is”;
• we make no guarantee that the Service will always be uninterrupted, error-free or suitable for every purpose;
• we are not liable for indirect, consequential or special losses, including loss of profits, revenue, goodwill, business opportunities or data;
• we are not responsible for failures caused by third-party providers, internet outages, mobile networks or circumstances outside our reasonable control.

Our total liability arising from any claim relating to the Service shall not exceed the total fees paid by you during the one month immediately preceding the event giving rise to the claim.

You are responsible for maintaining your own business records and appropriate backups.

16. Changes to these Terms

We may update these Terms from time to time.

Where changes are material we will notify you before they take effect.

Continuing to use IndiStamp after the revised Terms become effective constitutes acceptance of those changes.

17. General

These Terms constitute the entire agreement between you and Silicon Gorge Apps Ltd regarding IndiStamp.

If any provision is found to be unenforceable, the remaining provisions shall continue in full effect.

Failure to enforce any provision shall not constitute a waiver of that provision.

Neither party shall be liable for failure to perform obligations due to events beyond their reasonable control, including natural disasters, power failures, internet outages, industrial disputes or government action.

We may assign or transfer these Terms as part of a merger, acquisition or sale of our business.

No person other than the parties to these Terms has any right to enforce them.

18. Governing law

These Terms are governed by the laws of England and Wales.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
